Important: These Terms contain a dispute resolution clause (Section 13) that includes arbitration provisions for US-based users. EU/EEA consumers retain all statutory rights under applicable consumer protection law regardless of any clause in these Terms.
1. Acceptance of Terms
By accessing or using the CineAudit platform (“Service”) at cineaudit.app, you (“User,” “you”) agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.
If you do not agree with any part of these Terms, you must not use the Service.
2. Service Description
CineAudit provides an AI-powered video production platform that transforms written scenarios into fully produced videos through a multi-step automated pipeline including script analysis, character generation, scene planning, image generation, voice acting, video generation, lip-sync, music scoring, subtitling, and final assembly (“Service”).
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
3. Accounts & Access
3.1 Registration
You must be at least 18 years old (or the age of legal majority in your jurisdiction) to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at support@cineaudit.app if you suspect any unauthorised access. We will not be liable for any loss arising from unauthorised use of your account that results from your failure to safeguard your credentials.
3.3 One Account Per User
Each account is for a single user. You may not share your account credentials or allow multiple people to use a single account, unless you have purchased a plan that explicitly permits team access.
4. Acceptable Use Policy
You agree not to use the Service to create, upload, generate, or distribute content that:
- Is unlawful, harmful, threatening, abusive, harassing, defamatory, or invasive of another's privacy
- Infringes any patent, trademark, trade secret, copyright, or other intellectual property right of any party
- Contains sexual content involving minors (CSAM) — strictly prohibited and reported to authorities
- Constitutes deepfake impersonation of real, identifiable individuals without their explicit consent
- Is intended to spread disinformation, political propaganda, or manipulate public opinion deceptively
- Facilitates or promotes violence, terrorism, or criminal activity
- Constitutes unsolicited commercial communications (spam)
- Circumvents or attempts to circumvent any technical protection measures of the Service
- Involves systematic scraping, crawling, or extraction of data from the platform using automated tools
- Violates any applicable law or regulation
We reserve the right to remove any content and suspend or terminate accounts that violate this policy, without prior notice or refund.
5. Payments & Billing
5.1 Pricing
CineAudit offers pay-as-you-go and subscription plans as described on the Pricing page. All prices are in USD and exclusive of applicable taxes unless stated otherwise.
5.2 Subscriptions
Subscription plans are billed in advance on a monthly basis. Subscriptions renew automatically unless you cancel before the renewal date. Cancellation takes effect at the end of the current billing period — you retain access to paid features until that date.
5.3 Pay-As-You-Go
Usage-based charges are calculated per minute of completed video production. Charges are incurred upon successful completion of a production pipeline. Failed productions due to platform errors are not charged.
5.4 Refunds
EU/EEA consumers: You have a statutory right of withdrawal of 14 days from the date of purchase for digital services, unless digital performance has begun with your explicit prior consent and acknowledgement that you thereby lose your right of withdrawal (EU Directive 2011/83/EU). By initiating a video production, you consent to immediate performance and acknowledge that the right of withdrawal is waived for that specific production.
All other users: Subscription fees are non-refundable except where required by applicable law. We may issue discretionary credits for documented platform failures.
5.5 Taxes
You are responsible for any applicable taxes, including VAT (for EU customers — we collect and remit VAT in accordance with EU VAT rules for digital services, Council Directive 2006/112/EC). Your invoice will reflect applicable taxes based on your billing address.
5.6 Late Payments
If payment fails, we will attempt to retry the charge. Access to the Service may be suspended after 7 days of non-payment. Accounts suspended for non-payment will have their data preserved for 30 days, after which data may be permanently deleted.
6. Intellectual Property
6.1 CineAudit IP
All rights, title, and interest in the CineAudit platform — including software, algorithms, branding, trademarks, and documentation — are owned by CineAudit. These Terms do not grant you any rights to our IP except the limited licence to use the Service described herein.
6.2 Your Content
You retain all rights to the scenarios, scripts, brand assets, and other materials you upload to the platform (“Input Content”). By uploading Input Content, you grant CineAudit a limited, non-exclusive, royalty-free licence to process and transform your Input Content solely for the purpose of providing the Service to you.
6.3 Generated Outputs
Subject to your compliance with these Terms and full payment of applicable fees, CineAudit assigns to you all right, title, and interest it may have in the video outputs generated from your Input Content (“Output Content”). CineAudit makes no claim of ownership over your Output Content.
You are solely responsible for ensuring that your Output Content does not infringe third-party rights, including rights in underlying model training data, voice likeness rights, and music rights.
7. AI-Generated Content
The Service uses large AI models to generate video, images, audio, and text. You acknowledge that:
- AI outputs may be imperfect, inconsistent, or unexpected. We do not guarantee that outputs will meet your specific requirements.
- CineAudit does not use your Output Content to train shared AI models without your explicit written consent.
- The legal status of AI-generated content ownership may vary by jurisdiction. You are responsible for understanding and complying with applicable laws in your territory.
- You must not use the Service to generate content that would infringe third-party rights, including generating realistic likenesses of real people without their consent.
- Music generated by the Service is licensed for use within your produced videos. Standalone distribution of AI-generated music outside of produced videos may require additional clearances depending on your jurisdiction.
8. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that generated outputs will be accurate or meet your requirements.
EU/EEA consumers: Nothing in this section limits statutory warranties or guarantees to which you are entitled under applicable consumer protection law, including EU Directive 2019/771 and 2019/770.
9. Limitation of Liability
To the maximum extent permitted by applicable law, CineAudit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, loss of goodwill, or the cost of substitute services, arising out of or in connection with your use of the Service.
CineAudit's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amounts paid by you to CineAudit in the 12 months preceding the claim, or (b) USD 100.
EU/EEA consumers:This limitation of liability does not apply to damages resulting from CineAudit's gross negligence, wilful misconduct, fraud, or death/personal injury caused by CineAudit's negligence. Statutory consumer rights are not affected.
10. Indemnification
You agree to indemnify, defend, and hold harmless CineAudit and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your Input Content or Output Content; (c) your violation of these Terms or any applicable law; or (d) your violation of any third-party right.
11. Termination
You may terminate your account at any time by deleting it through your dashboard settings. Upon termination, your access to the Service will cease and your data will be handled as described in our Privacy Policy.
CineAudit may suspend or terminate your account immediately and without notice if you violate these Terms, particularly the Acceptable Use Policy. Upon termination for cause, no refund will be issued. You may appeal a termination decision by contacting support@cineaudit.app.
12. Governing Law
For users in the EU/EEA: These Terms shall be governed by the laws of the member state in which you are resident, and you may bring proceedings in the courts of your member state. EU mandatory consumer protection provisions apply regardless of any other governing law clause.
For users in the United Kingdom: These Terms shall be governed by and construed in accordance with the laws of England and Wales.
For all other users: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
13. Dispute Resolution
13.1 Informal Resolution
Before initiating any formal proceeding, you agree to contact us at legal@cineaudit.app and attempt to resolve the dispute informally. We will make good-faith efforts to resolve disputes within 30 days.
13.2 Arbitration (US Users)
For users based in the United States, any dispute not resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Class action and jury trial rights are waived. This arbitration agreement does not apply to: (a) claims for injunctive relief; (b) intellectual property disputes; (c) small claims court actions.
13.3 EU Online Dispute Resolution
EU/EEA consumers may use the European Commission's Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr to resolve disputes out of court.
14. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and any applicable order forms, constitute the entire agreement between you and CineAudit regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall remain in full force.
- Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
- Assignment: You may not assign these Terms without our prior written consent. CineAudit may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force Majeure: Neither party shall be liable for failure to perform due to causes beyond reasonable control, including natural disasters, cyberattacks, or governmental actions.
- Changes to Terms: We may update these Terms at any time. Material changes will be communicated by email at least 14 days in advance. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
